Before installing or using video flip Editor Software ("the software") pleas read the terms of use below ("the terms" or "agreement") and any provided. By opening installing or using the software you agree to the terms of this agreement. If you are accessing the software electronically, indicate your acceptance of these terms by selecting the "Accept" button at the end of this agreement.

If you do not agree to all these terms, select the "Decline button at the end of this agreement.

Use of Software

The Software is the property of Q.E.D and its suppliers. Use of such Software is governed by the terms of the license agreement. You shall not use, download or install any Software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement.

Ownership

The trademarks, logos and service marks displayed on the software (the "Marks") are the property of Q.E.D or third parties. You are not permitted to use the Marks without the prior consent of Adobe or the third party that may own the Marks. Q.E.D and the software logo are trademarks of Q.E.D.

Scope of License

A Licensed Copy of the software may be used on one computer by the purchases that use the software personally or anyone on behalf of him.

The software may contain source code that is provided solely for reference purposes pursuant to the terms of this Agreement. Source code may not be redistributed unless expressly provided for in this Agreement.

You may not distribute, redistribute or sell, rent, lease neither the software nor the license or the source code.

In purchasing the present license you understand and agree that it is not replaceable in case of accidental loss, including but not limited to major software recovery operations, software crashes, or hardware theft. Please print your registration information and source code and keep it at a safe place.

Warranty Disclaimers and Liability Limitations

The software, and any and all accompanying software, files, data and materials, are distributed and provided “AS IS” and with no warranties of any kind, whether express or implied.

You acknowledge that good data processing procedure dictates that any program, including the software, must be thoroughly tested with non-critical data before you rely on it, and you hereby assume the entire risk of using the program. This disclaimer of warranty constitutes an essential part of this License.

Any liability of the software will be limited exclusively to refund of purchase price, if any. In addition, in no event shall the software, or its principals, shareholders, officers, employees, affiliates, contractors, subsidiaries, or parent organizations, be liable for any indirect, incidental, consequential, or punitive damages whatsoever relating to the use of the software, or to your relationship with the software.

In no event shall Q.E.D, its officers, directors, employees, partner or any suppliers be liable toy you or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or if Q.E.D has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortuous action, or any other claim arising out of or in connection with your use of or access to the software.

Nothing in the terms shall limit or exclude Q.E.D liability for gross negligence or international misconduct of Q.E.D or its employees, or for death or personal injury.

General

All rights of any kind in the software which are not expressly granted in this the terms of use are entirely and exclusively reserved to and by Q.E.D. You may not rent, lease, modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on, the software. You may not make access to the software available to others in connection with a service bureau, application service provider, or similar business.

This terms of use is the complete statement of the agreement between the parties on the subject matter, and merges and supersedes all other or prior understandings, purchase orders, agreements and arrangements. This License, the software and all matters relating to your access to, or use of, the software shall be governed by these Terms of use and by the laws of Israel.

Exclusive jurisdiction and venue for all matters relating to this License shall be in courts located in Tel- Aviv, and you consent to such jurisdiction and venue. There are no third party beneficiaries of any promises, obligations or representations made by the software herein. Any waiver by the software of any violation of this License by you shall not constitute or contribute to a waiver of any other or future violation by you of the same provision, or any other provision, of this License.

If you breach any of the Terms of Use, your authorization to use the software automatically terminates and you must destroy all copies of the software.

Q.E.D may change the Terms from time to time at its sole discretion
